These Terms and Conditions ("Terms") govern your use of the website at https://osprey.solutions, our marketing materials, our communications (including text and voice), and the services described below. By using our website, contacting us, providing us with information, receiving messages from us, or using any service we offer, you agree to these Terms. If you do not agree, please do not use the website or our services.
These Terms are governed by and supplemented by our Privacy Policy, which forms part of this agreement.
1. Who We Are
Osprey Solutions is a digital marketing agency based in Vernon, British Columbia, Canada, providing the following services to small and mid-sized businesses across North America:
- Google Business Profile setup, management, and optimization
- Google Ads strategy, build, and ongoing management
- Meta (Facebook / Instagram) advertising
- AI voice agents (inbound and outbound automated phone agents)
- RoofQuote (instant roof estimation widget for roofing contractors)
- Website design and ongoing site maintenance
- SEO content writing and content engine subscriptions
- Local SEO and citation building
- Customer relationship management software for our clients
- Review reply automation and review-management workflows
- Reporting dashboards and ad performance analytics
The use of any paid service is governed by a separate written service agreement signed between Osprey Solutions and the client. In the event of a conflict between these Terms and a signed service agreement, the service agreement controls for that engagement.
2. Use of Our Website
You may use osprey.solutions for lawful, personal, and business purposes. You agree not to:
- Interfere with or disrupt the website or its underlying infrastructure or security.
- Attempt to gain unauthorized access to our systems, accounts, or data, or to systems we operate on behalf of clients.
- Use automated tools to scrape, harvest, or extract content from the website at a rate that materially burdens our servers, except for legitimate search-engine indexing.
- Reverse-engineer, decompile, or attempt to extract source code from any software we make available.
- Misrepresent your identity, your affiliation with any organization, or your authority to act on behalf of an organization when contacting us or filling out forms.
We may suspend or terminate access to anyone who violates these Terms.
3. Communications With Us
By contacting Osprey Solutions through the website, by phone, by SMS, by email, or through one of our AI voice agents, you consent to be communicated with through the same channel for the purpose of responding to your inquiry and delivering any service you've requested. Marketing-style follow-ups are sent only with your explicit opt-in to that channel and you can withdraw that consent at any time.
Voice calls. When you call any of our published business numbers, including +1 (778) 910-0756, your call may be answered by an AI voice agent operated by Osprey Solutions. The call is recorded and transcribed for the purpose of completing the call, generating a summary, and improving service quality. A short audio notice at the start of the call advises you that the conversation is recorded. If you do not consent to recording, please end the call and contact us by email at service@osprey.solutions.
Text messages. SMS communications with Osprey Solutions are governed by the SMS section of our Privacy Policy and by the SMS terms in Section 5 below.
AI-generated responses. Some of our communications — text, email, voice — may be generated or assisted by artificial-intelligence systems. We make reasonable efforts to ensure these responses are accurate, but AI-generated content can occasionally be wrong. If anything we send or say to you appears incorrect, contradictory to a written agreement, or inconsistent with the offer or terms you were quoted, please disregard it and contact us at service@osprey.solutions to confirm.
4. Services and Service Agreements
Use of our paid services (Google Ads management, GBP management, RoofQuote, AI voice agents, website design, SEO content, CRM, and any other service we agree to deliver) is governed by a separate written service agreement signed between Osprey Solutions and the client. That agreement, not these Terms, defines the scope of work, fees, term, renewal, cancellation, and any service-level commitments.
No guaranteed advertising or SEO outcomes. Search-engine optimization, Google Ads, and Meta Ads are influenced by many factors outside our control, including search-engine algorithms, ad-platform policy changes, competitor activity, market conditions, and the quality of the client's offer and conversion infrastructure. We will work in good faith to deliver the strategy and execution described in your service agreement. We do not guarantee specific rankings, click volumes, conversion rates, return on ad spend, or revenue outcomes unless explicitly stated in writing in the signed service agreement.
RoofQuote estimates. Estimates produced by the RoofQuote widget are informational starting points based on satellite imagery, public property data, and standardized pricing inputs. They are not binding quotes. The actual price for a roofing project is determined by the contractor delivering the work after an in-person inspection.
Client materials. When we work on your behalf, you grant Osprey Solutions a limited license to use your business name, logo, photos, testimonials, and other materials you provide for the purpose of delivering the services in your service agreement (including running ads, building landing pages, and writing content). You represent that you own or have the right to grant us this license.
5. SMS / Text Messaging Terms
By providing your phone number and opting in to receive text messages from Osprey Solutions, you agree to the following:
- You are at least 18 years old, or you have your parent or guardian's consent.
- You are the account holder of the mobile number you provided, or you have the account holder's permission to receive messages on it.
- Message frequency varies based on your interactions with us.
- Message and data rates may apply. Your carrier is not liable for delayed or undelivered messages.
- You can opt out at any time by replying STOP (or any of the keywords listed in our Privacy Policy). You can request help by replying HELP.
- The collection, use, and storage of information related to text messaging is described in our Privacy Policy.
- We will not sell, rent, or share your phone number, the contents of your messages, or your SMS consent record with third parties or affiliates for their marketing purposes.
- Messages may include links to landing pages, quotes, calendars, or review-request flows. Please review the destination of any link before you tap it.
6. Third-Party Links and Services
Our website and our communications may contain links to third-party websites or services that we do not control, including Google, Meta, Stripe, calendaring tools, and tools we operate on a client's behalf. We are not responsible for the content, privacy practices, or accuracy of those third parties. Your use of any third-party site is at your own risk and subject to that site's terms.
7. Intellectual Property
All content on osprey.solutions — including text, graphics, logos, RoofQuote screenshots, marketing materials, and software — is owned by Osprey Solutions or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and share content for personal, non-commercial purposes. Any other use, including reproduction, modification, distribution, or public display, requires our prior written permission.
8. Disclaimers
The information on osprey.solutions and in any general communications (including AI-assisted communications, blog posts, social-media posts, and informational text or voice content) is provided for general informational purposes. While we work to keep it accurate and up to date, we make no warranties, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the website, its content, or any informational communication.
The website and any informational content are provided "as is." To the maximum extent permitted by law, Osprey Solutions disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.
The performance of our paid services is described in detail in the applicable service agreement and is subject to the warranties stated there.
9. Limitation of Liability
To the maximum extent permitted by law, Osprey Solutions and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the website or any general informational communication, including loss of profits, business, data, goodwill, or other intangible losses.
Our total aggregate liability arising out of or in connection with the website and any general informational communication, separate from a paid service agreement, will not exceed CAD $100. For paid services, the limitation of liability stated in the applicable service agreement controls.
Nothing in these Terms limits liability that cannot be excluded under applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Osprey Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to (a) your violation of these Terms, (b) your misuse of the website or our services, (c) your violation of any law, or (d) any content or information you provide to us being inaccurate, infringing, or otherwise unlawful.
11. Governing Law and Venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Disputes arising under or related to these Terms will be resolved in the courts located in British Columbia, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Material changes will be communicated through a prominent notice on this website. Continued use of the website after a change becomes effective constitutes acceptance of the revised Terms.
13. Severability and Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and Osprey Solutions regarding the subject matter and supersede any prior or contemporaneous understandings.
